By accessing and using the Unison Payment Solutions website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

Unison Payment Solutions provides:

- Related payment processing services
Specific terms for merchant accounts are in a separate Merchant Processing Agreement.
Website Use
You may use our website for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the website
- Submit false or misleading information through our forms
- Use automated systems to access the website without our permission
Accuracy of Information
We aim to keep all website information accurate. This includes rates, features, and service details. However:

- Terms may vary by business type, volume, and risk level
- Final rates are set in your Merchant Processing Agreement

Limitation of Liability
Unison Payment Solutions provides this website and its content "as is" without warranties of any kind. We are not liable for any damages arising from your use of the website or reliance on information provided herein.
Merchant Processing Agreement
Approved merchants receive a separate Merchant Processing Agreement (MPA). The MPA covers:
- Processing rates
- Funding schedules
- Reserve requirements (if any)
- Rights and obligations of both parties
If these Website Terms conflict with the MPA, the MPA takes priority for payment processing services.
Equipment and Hardware
POS terminals and payment devices may be:
- Purchased — becomes your property after full payment
- Leased — remains Unison's property; must be returned in good condition
- Free placement — provided at no cost; must be returned at end of relationship
All equipment includes manufacturer warranties and Unison technical support for the duration of your processing relationship.
Service Level and Availability
We work to keep services available at all times. However, occasional downtime may occur due to:
- Scheduled maintenance
- System upgrades
- Network or telecom outages
- Events beyond our control
We minimize disruptions and provide advance notice of planned maintenance when possible.
Disputes and Chargebacks
Merchants are responsible for:
- Fulfilling orders and providing services as described
- Responding to customer disputes promptly
- Covering the financial cost of chargebacks
Unison provides chargeback alerts, representment help, and prevention tools. We do not guarantee dispute outcomes. Excessive chargebacks may lead to higher fees, reserve holds, or account suspension per card network rules.
Compliance and Regulatory Requirements
As a merchant, you must comply with:
- All applicable laws and regulations
- Card network rules (Visa, Mastercard, etc.)
- PCI DSS standards for cardholder data security
- Required signage for cash discount or surcharge programs
- Industry-specific regulations for your business type
Unison provides guidance and tools to help. However, we are not responsible for merchant compliance failures.
Indemnification
You agree to indemnify and hold harmless Unison Payment Solutions, its officers, directors, employees, and partners from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our website, your violation of these Terms of Service, or your violation of any rights of a third party.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida.
Severability
If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Entire Agreement
These Terms of Service, together with our Privacy Policy and any applicable Merchant Processing Agreement, constitute the entire agreement between you and Unison Payment Solutions regarding the use of our website and services. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
